1) Agreement to Terms

By accessing our website, purchasing any plan, or using our services (the “Services”), you agree to these Terms & Conditions (“Terms”). If you do not agree, do not use the Services. If you enter into these Terms on behalf of an organization, you represent you have authority to bind that organization.

2) Our Services (Scope Summary)

We provide professional and managed services including: web chat (Conversation AI), funnel/landing-page design, forms & tracking, email/newsletters, social scheduling, review automation, CRM/pipeline & workflow configuration, analytics/reporting, and related consulting/training. We may integrate third-party platforms (e.g., payment processors, email/SMS, WhatsApp Business, analytics). You are responsible for your own third-party accounts and compliance with their terms.

3) Accounts & Client Responsibilities

You agree to: (a) provide timely access to accounts, DNS/domains, calendars, content, and personnel; (b) ensure rights/permissions to all materials and data you supply; (c) comply with applicable laws (UAE and international) including privacy, consent, anti-spam/telecom, advertising, and consumer protection; (d) review/approve deliverables before go-live; (e) keep billing details current and pay amounts due; and (f) ensure that messaging lists are consent-based and lawful.

4) Orders, Plans & Scope

Service descriptions, deliverables, timelines, and fees are set out on our website/pricing page/checkout or any Statement of Work (SOW/Proposal). A service begins when payment is confirmed. Any work not expressly included is out of scope and may be quoted separately.

5) Onboarding, Go-Live & Timelines

Starter targets ~7–10 business days; Growth typically phases over ~3–5 weeks. Timelines assume prompt client inputs/approvals. We use a Go-Live checklist (forms, chat, booking, emails, dashboards). Delays from missing inputs may shift timelines without penalty to us.

6) Fees, Taxes & Billing

Currency: Prices are in AED unless stated otherwise.

VAT/Taxes: UAE VAT (currently 5%) and any applicable taxes are added at checkout.

Subscriptions: Monthly plans bill in advance and auto-renew until cancelled per Section 12.

Start of Monthly Billing: Begins on Go-Live or Day 30 from project start—whichever occurs first.

Setup Fees: Charged at purchase; non-refundable once work starts.

Payment Method: We use third-party processors (e.g., Stripe). By purchasing, you authorize recurring charges.

Late/Failed Payments: We may suspend Services for non-payment and recover reasonable collection costs.

Add-Ons & Overages: Add-ons are billed separately. If you exceed plan caps, we may (a) throttle usage, (b) recommend an upgrade, or (c) charge agreed overages.

7) Trials, Promotions & Credits

Trials or promotional credits (if offered) are discretionary and may be changed or withdrawn at any time. Trial use remains subject to these Terms.

8) Deliverables & Acceptance

We deliver according to the agreed package/SOW. Unless you report a material issue within five (5) business days of delivery, the deliverable is deemed accepted.

9) Cancellations & Refunds

Subscriptions: Cancel any time before the next billing date to stop future renewals. No prorated refunds for the current period.

Projects/Setup: If you cancel after purchase but before we begin, we may refund at our discretion less processing/admin costs. Once work has started, setup fees are non-refundable.

Third-Party Costs: Platform seats, add-ons, SMS/email credits, paid media, and similar pass-through costs are non-refundable once purchased/consumed.

10) Service Availability, Third-Party Platforms & Pass-Through Costs

We aim for timely delivery and stable operations, but third-party platforms (email gateways, carriers, Meta/WhatsApp, calendars, hosting, payment, analytics) are outside our control; we provide no uptime, deliverability, or results guarantee for those services. You agree to their terms and any pass-through fees (e.g., WhatsApp conversation charges, SMS carrier fees). Template approvals and policy enforcement are controlled by the respective providers.

11) Results & Marketing Disclaimer

Performance depends on many factors (offer, market, creative, sales process, budget). We do not guarantee specific outcomes (e.g., lead volume, bookings, revenue). Any metrics shown are illustrative.

12) Term, Renewal, Suspension & Termination

Term & Renewal: Month-to-month unless otherwise agreed (e.g., 3/6-month terms). Renews automatically until cancelled.

Cancellation: Provide at least 7 days’ notice before the next billing cycle to prevent renewal.

Suspension/Termination: We may suspend/terminate immediately for non-payment, illegal use, risk to systems/data, or material breach. Either party may terminate for cause if the other fails to cure a material breach within 10 business days of written notice.

Effect: Upon termination, access may be disabled; we will provide reasonable data-export assistance upon request. Outstanding fees remain due; subscriptions stop renewing going forward.

13) Service Levels & Support

Business hours: Mon–Sat, UAE business hours, unless agreed otherwise. Support channels and cadence (e.g., email support, monthly/bi-weekly optimization reviews) depend on plan. Critical incident support is an add-on. Certain SLAs (e.g., “first follow-up within 15 minutes if a lead hasn’t booked”) apply only when configured in scope.

14) Data Protection & Privacy

We process limited personal data to provide the Services. You are responsible for obtaining valid consent from your contacts and for lawful use of any lists you upload. We implement reasonable administrative, technical, and organizational safeguards but no method is 100% secure. See our Privacy Policy for details. A Data Processing Addendum (DPA) is available on request.

15) Intellectual Property

Your IP: You retain rights to your pre-existing materials, trademarks, and data. You grant us a limited licence to use them to provide the Services.

Our IP: We retain rights to our methods, templates, scripts, snapshots, workflows, and tools.

Project IP: Upon full payment, you receive a non-exclusive, non-transferable, royalty-free licence to use the final deliverables for your internal business. Source files or proprietary components are included only if expressly stated in the SOW.

16) Acceptable Use

Do not use the Services to: send unsolicited messages without consent; upload unlawful/harmful content or malware; infringe IP/privacy; make misleading claims; target prohibited audiences; bypass security; or circumvent platform limits/policies. We may suspend or terminate for violations.

17) Confidentiality

Each party must keep confidential the other party’s non-public information and use it only to perform obligations under these Terms, except where disclosure is required by law.

18) Publicity

With your prior consent (email is sufficient), we may reference your name/logo and high-level outcomes as social proof (e.g., case notes). You can revoke consent at any time by written notice; we will remove references within a reasonable period.

19) Plan Caps & Guardrails

To protect delivery quality and margins, plans have explicit limits stated on your order form/pricing page. Typical examples:

Starter: 1 funnel page + thank-you page, 1 calendar, ~6 workflows, up to ~10k emails/mo, 2 social profiles, ~50 review requests/mo, contacts cap.

Growth: 2–3 pages + 1 active A/B test, 2 calendars, ~10 workflows, up to ~20k emails/mo, 2–3 social profiles, ~100 review requests/mo, higher contacts cap.

Caps may be updated with notice. Exceeding caps may trigger throttling, upgrade recommendations, or agreed overages.

20) Indemnity

You agree to indemnify and hold us harmless from claims, damages, liabilities, costs, and expenses arising from (a) your content or data; (b) your misuse of the Services; (c) your breach of these Terms; or (d) your violation of laws or third-party rights.

21) Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits/revenue/goodwill/data. Each party’s total aggregate liability is limited to the fees paid to the other for the Service giving rise to the claim in the three (3) months preceding the event.

22) Changes to Services or Terms

We may enhance, modify, or discontinue features (including due to third-party changes). Material changes to the Services or these Terms will be posted with a revised “Last Updated” date. Continued use after changes constitutes acceptance.

23) Force Majeure

Neither party is liable for delay or failure caused by events beyond reasonable control (e.g., internet/cloud outages, carrier failures, regulatory or platform policy changes, strikes, acts of government, or other force-majeure events).

24) Governing Law & Venue

These Terms are governed by the laws of the United Arab Emirates. The courts of Ras Al Khaimah (RAKEZ) have exclusive jurisdiction.

25) Entire Agreement & Order of Precedence

These Terms together with any SOW/Proposal or online order form constitute the entire agreement and supersede prior discussions. If there is a conflict, a signed SOW/Proposal prevails over these Terms.
